Osborne Clarke has advised the founders of the German hiking app komoot on its acquisition by the Italian technology company Bending Spoons.

komoot, known for its specialised outdoor navigation software, was founded in Potsdam in 2010 and has since developed into one of the leading platforms for outdoor route planning. With over 45 million users worldwide, especially in Europe, komoot is particularly popular among hikers, cyclists and trail runners.

Bending Spoons has served a billion people across the globe through its suite of digital technology businesses, including Brightcove, Evernote, Meetup, Remini, StreamYard, and WeTransfer. Its products are currently used by more than 300 million people each month.

Markus Hallermann, CEO and co-founder of komoot, emphasised that the company has successfully implemented its original vision of making outdoor adventures accessible to everyone. “Scaling a company requires a different mindset and skill set than building one. Big changes may be coming for Komoot users as the navigation app is taken over by firm with a history of slashing jobs

Komoot users may be in for major changes after the navigation app was taken over by a tech firm with a history of slashing staff.

Popular withtrail runners and hikers, the route-plotting platform specializes in crafting both short-distance and multi-day routes, which you can follow along using GPSand pin with pictures.

It's been acquired by Italian tech company Bending Spoons, which has a history of making mass job cuts in the companies it buys. Its plans for the platform are currently unclear.

Bending Spoons closes $233 million acquisition of Brightcove

Boston, MA—February 4, 2025 | Bending Spoons, the Italy-based technology company, completed its previously announced acquisition of US-based streaming technology company Brightcove Inc. (NASDAQ: BCOV) for $4.45 per share (or approximately $233 million), in an all-cash transaction. The definitive acquisition agreement was entered into in November 2024.

Silver Point Leads Financing of Acquisition of Brightcove Inc. by Bending Spoons

GREENWICH, Conn., March 10, 2025 /PRNewswire/ -- Silver Point Capital, a global leader in credit investing, today announced that its Direct Lending business has led the financing supporting the previously announced acquisition of Brightcove Inc., a U.S.-based streaming technology company, by Bending Spoons, the Italy-based technology company.

In connection with its $233 million acquisition of Brightcove, which has closed, Bending Spoons has raised a $600 million secured term loan to fund the transaction and to add cash to the balance sheet primarily to support future acquisitions and investments. Silver Point served as lead lender and Documentation Agent on the secured term loan. J.P. Morgan was Lead Left Arranger and Administrative Agent on the loan.

Italian tech company Bending Spoons is set to significantly reduce WeTransfer’s workforce, with 75% of its staff facing the chop, according to a report by TechCrunch.

This downsizing comes just months after Bending Spoons acquired the Dutch file-sharing platform in July for an undisclosed amount.

WeTransfer, which currently employs over 350 people and serves around 600,000 subscribers and 80 million monthly users, will undergo significant restructuring.

Bending Spoons CEO Luca Ferrari explained that the company aims to create a “smaller, more sharply focused WeTransfer organisation” to ensure long-term success.

Ferrari claimed that Bending Spoons thoroughly analyses each acquisition to determine the best action.

“Once the vision is clear, we try to close the gap between the status quo and the vision as quickly and as fully as we can,” Ferrari told TechCrunch.

Bending Spoons has a history of restructuring its acquisitions, having previously implemented job cuts at Evernote and Meetup — and even laid off the entire team at Filmic after taking them over.

Hopin's unicorn roller coaster ride comes to end, with Italian company Bending Spoons swooping in to pick up StreamYard and the two remaining product lines.

Our goal is to take StreamYard's remarkable solutions to new heights, leveraging our expertise and technology," Luca Ferrari, co-founder and CEO of Bending Spoons, said in a statement.

The Milan-based Bending Spoons confirmed the agreement but did not disclose financial details. Hopin closed its UK entity in February, moving all its operations to the U.S. and rebranding to StreamYard Top Corp.

Hopin was valued at $7.75 billion at the peak of the Covid pandemic-led rush to virtual events. The company divested its events business in August 2023. Acquiring company RingCentral paid a starting price of $15 million and rebranded the product to RingCentral Events.

“Our team has built incredible brands, technologies, and global communities across our suite of products comprised of StreamYard, Streamable, and Superwave. We are grateful to our team and customers and look forward to seeing the business and products grow to the next level with Bending Spoons,” said Hopin CEO Badri Rajasekar.

Rajasekar joined Hopin when video technology company Jamm, which he founded in 2019, was acquired by Hopin in March 2021. He has held the top job since Founder Johnny Boufarhat stepped down in August 2023.

Major news: Hopin has been acquired.

This is the final chapter of a wild story.
Yesterday, Hopin announced the sale of StreamYard (and other assets) to Bending Spoons.
Bending Spoons recently acquired Meetup, the popular website for user-generated events.
So many themes are emerging:

The timeline:

2019: Hopin is started by founder Johnny Boufarhat. He was confined to his bed for a condition and thought about changing the virtual event experience.

2020: A few months later, the pandemic hit. Hopin has a great experience and wins market consensus really fast.

2021: Boufarhat raises $1B at a $7B valuation and grows the team to 1,000 employees in a year.

2022: As the pandemic eases, Hopin (and many other virtual event platforms) struggles and goes through several layoffs.

2023: RingCentral announces the acquisition of Hopin Events assets for $15M to $50M, depending on performance. Streamyard, Streamable, and SuperWave are spun off.

2024: Bending Spoons acquires the remaining assets.

This announcement marks the end of an incredible journey we've rarely seen in eventtech & the industry.

The aftermath?

1. The scale. What Hopin achieved in terms of fundraising and operational scale, in one year, during a pandemic, has been incredible.

2. The pendulum swing. The incredible growth of virtual, the promise of a new world order in events, and the monumental swing back to in-person are the most significant stories for the event industry of the past 40 years, defining its identity forever.

3. A new player. Bending Spoons is now an event technology player. More on the long tail, consumer side than our B2B player. This vertical is undergoing a significant shake-up with players like Eventbrite still recovering and new, very aggressive entrants like Partiful and Luma.

Hopin, the event tech juggernaut that skyrocketed in value during the pandemic on the strength of its virtual-meeting platform — and then plummeted when that demand dried up — is now selling off its remaining products. Last August, Hopin sold its flagship Events platform and its Session product to RingCentral for $15 million upfront, with an additional $35 million possible contingent on specific performance targets. At the height of its success, Hopin had been valued at a whopping $7.75 billion.

The products Hopin had elected to retain — headlined by the popular livestreaming and video-recording platform StreamYard, in addition to the video-hosting platform Streamable and community-focused Superwave — will now be acquired by Bending Spoons. Financial details of the deal haven't been disclosed.

Meetup.com is so over

Another day, another batch of events I’ve been on the list for, either announcing they are moving away from Meetup.com, or, another batch of emails telling me that the organiser has abandoned the group, and would I like to be the one to save it and keep it going?

Why is this happening? Well, Meetup has had a storied history (it was at one point owned by WeWork, at the height of the bubble around that organisation’s intent to reinvent the way we all live, work and socialise) – culminating most recently in it being acquired by Bending Spoons.

Humamy (May 31, 2023)

I have a new battle! Last week I joined Humamy a startup of Bending Spoons, one of the most innovative companies of Italy.

Humamy has a BIG purpose: to feed the world with healthy, delicious and sustainable food.

Why does this matter to me? In the last year I’ve had to radically change my eating habits. I used to eat irregularly, carb-intensive and ignored the effect food had on my body. After some medical tests and visiting a nutritionist in spring I realised something wasn’t ok with my body. I had to switch to a balanced, healthier, five-meals-a-day diet.

Such a change wasn’t easy. I had to shop for food regularly and dedicate way more time to cooking. I managed partly thanks to job that allowed me to work from home daily and thus allocate the required time. Truth be told though, whilst healthier, my dishes were often monotonous and boring!

I can’t but wonder, how many people are in the same position as I used to be in?

In Humamy I think we have a solution. We prepare ready-to-eat, 100% plant-based meals, delivered right at your door. They are yummy, nutritious and sustainable.

I’m really excited for this tough but worthy challenge. Better food, better people, better planet!

Bending Spoons to Acquire Renowned Productivity App Evernote to Enhance Suite of Consumer-Facing Digital Products

Bending Spoons, a mobile technology and app development company based in Milan, Italy, has purchased Filmic Inc., a maker of professional video applications for smartphones.

The acquisition looks to support Filmic with its mobile technologies and brands by providing technological and digital marketing experience. Bending Spoons’ support aims to help Filmic’s plans for growth, expand its development cycles and build a better experience for customers in the creator community. Cascadia Capital acted as financial advisor to Filmic Inc. in the transaction.

“Bending Spoons’ recent $340 million financing from actor Ryan Reynolds and other leading names in technology, media, and finance is a testament to the outsized growth and attractiveness of the creator economy, in which Bending Spoons and Filmic will play a leading role,” says Matt Riendeau, managing director at Cascadia Capital. “These transactions are a great example of the rapidly evolving mobile app ecosystem which now comprises many large enterprises that are well capitalized and highly acquisitive, a significant shift from only a few years ago.”

Filmic Pro No More?

There are a lot of questions about the company Bending Spoons and their future. BS purchased many, mostly free apps, over the years to convert into subscription based apps. Most recently, Evernote became their latest baby.

I am going to share a bit about the news of the layoff just announced. I will focus on Filmic Pro, because this company has been part of the “rat pack” of mobile filmmaking industry pioneers. And I am going to throw myself in there, if you know my history—you know.

I can share my personal observations of Filmic Pro over the years because they launched after the International Mobile Film Festival I founded in the Spring of 2009. I have followed much of their journey, as I’ve followed the industry since the start.

This morning, along the pacific coast time zone, I found the story by Peta Pixel about the layoffs which was written by Jaron Schneider: “Filmic’s Entire Staff Laid Off by Parent Company Bending Spoons.”

The last couple months have been interesting at Filmic Pro.

November 3 this year, Christopher Cohen, Technical Chief Officer at Filmic in Seattle, Washington made an announcement on Meta/Facebook:

I am announcing that my role as Chief Technology Officer at Filmic has come to a close, concluding an eventful near-decade journey. Effective immediately, I'm stepping into a future filled with new challenges and opportunities.

Our collective efforts not only established us as trailblazers in the professional video camera application industry but also played a pivotal role in the democratization of filmmaking. By enabling a diverse array of voices to make their impact on the creative universe, we've ushered in a new era of innovation and expression.

Christopher worked very hard with the team and has always been quite devoted to the success of the app and the company. It was a bit shocking when he left last month, but the timing was telling about what may have been the morale.

I noticed their social media posts wither away since Christopher Cohen left.
